These Terms apply when you create or run a School on iSpeak. They add to the Terms of Service and explain your duties as a School Owner, what iSpeak charges, how you get paid, and what happens with your Members' data. You accept them when you create your first School.
1. The relationship
- You run your School; iSpeak provides the platform. You decide what is taught, by whom, at what price and under what rules. iSpeak handles sign-ups, card payments, notifications and the technology.
- iSpeak is the merchant of record for card payments: Members pay iSpeak, and iSpeak owes you the net of each payment under section 5. iSpeak is not your employer, partner or agent, and you are not iSpeak's.
- You may run a School as a person or on behalf of a company or education centre. If on behalf of an organisation, you confirm you have the authority to accept these Terms for it.
2. Eligibility and your account
- You must be at least 18 years old and able to enter a binding contract.
- A platform plan (section 4) with a valid payment card is required to create a School. The first 14 days are free; nothing is charged before the trial ends.
- You may appoint admins, moderators, teachers and a billing manager. You are responsible for what they do inside your School. Only you can delete the School, transfer it or change its owner.
3. Your responsibilities
- Content and teaching. Everything in your School, including what your teachers and admins post, complies with the law, the Terms of Service and these Terms. You hold the rights to the materials you use. You do not upload content you are not allowed to distribute.
- Your Members. You describe your School truthfully: what you teach, at which levels, what a membership includes, and your prices. You handle Members' questions and complaints about your School. You decide on refunds for your School under section 6.
- Minors. If your School teaches learners under 16, you obtain and keep the permission of their parent or guardian, and you handle their data with extra care.
- Local law and taxes. You are responsible for any licence, registration or tax that applies to teaching or selling in your country, and for declaring the income you receive from iSpeak. iSpeak may ask for identity or business documents before paying out, and may withhold amounts where the law requires.
- Conduct. You moderate your community fairly and apply your own rules consistently. You do not use your School to collect Members' data for other purposes, to send spam, or to move Members to another platform to avoid fees on payments that were started on iSpeak.
- Offline payments. If you switch on offline payments, those payments are between you and the Member. You record them in the School's settings so the Member's access is correct. iSpeak is not a party to them and does not refund or guarantee them.
4. Platform plans
| Plan | Price | Fee on each member payment | |---|---|---| | Hobby | $19 per month | 10% + $0.30 | | Pro | $49 per month | 5% + $0.30 |
- The plan is charged monthly in US dollars to the card on file, starting when the 14-day trial ends. You can switch plans at any time from Plans & billing; the change applies from the next invoice.
- If the plan payment fails, we retry and tell you. After a 7-day grace period the School is paused: it stays visible to its Members but new joins, posts and classes are blocked until payment succeeds. After 30 days of non-payment we may archive the School; its data is kept for a further 60 days so you can restore it by paying.
- Plan prices and fees may change with at least 30 days' notice. The fee that applies to a payment is the one shown in your Plans & billing page on the day of that payment.
5. Member payments, your earnings and withdrawals
- What you receive. For each card payment from a Member, you receive the amount paid minus the fee for your plan and minus any discount you granted with a promo code. Example: a Member pays $20 for a month; on Hobby you receive $17.70, on Pro $18.70. Taxes that Stripe or the law requires iSpeak to collect are not part of your earnings.
- The Earnings page shows every payment, fee, refund and balance. Available balance can be withdrawn; Pending balance is money inside the 14-day refund window; Requested is money in a withdrawal you have asked for; Paid to date is what we have already sent you.
- Withdrawals. Add your bank details in the School's settings, then press Withdraw. The minimum withdrawal is $50, and one withdrawal can be open at a time. The iSpeak team pays by bank transfer within 10 business days of your request and marks it paid; bank charges on your side are yours. We may ask for identity or bank-ownership documents before the first payout and whenever the bank details change.
- Currencies. Earnings are kept in US dollars. Transfers in another currency are made at the bank's rate on the day of transfer.
- Refunds, chargebacks and clawbacks. When a payment is refunded, its net amount is taken back from your balance; the platform fee on that payment is returned to you. If a Member disputes a payment with their bank and the dispute is lost, the amount and the bank's dispute fee are deducted from your balance, and if the balance is not enough, from future earnings. If a withdrawal was already paid on a payment that is later reversed, you owe iSpeak that amount and we may set it off against future earnings.
- Promo codes. A discount you grant with a School promo code reduces your earnings, not the platform fee percentage. Platform codes issued by iSpeak reduce iSpeak's plan price, never your earnings.
- Affiliates. When a Member joins your School through another Member's referral link, the referral share is paid from iSpeak's platform fee, not from your earnings.
6. Prices, trials and refunds in your School
- You choose one of five pricing models: free, subscription, freemium, tiers or one-time, in US dollars, UAE dirhams or, with offline payments, Turkmen manat. You can change prices at any time. Members who already joined keep their price, unless you lower it for everyone.
- You may offer a free trial of up to 30 days on a subscription. iSpeak saves the Member's card and charges it when the trial ends, after reminding the Member.
- You decide refunds for your School. A payment can be refunded in full from Members & roles for 14 days after it was made; the Member's access ends when you refund. Outside that window, write to support@ispeaktm.com. Be fair: a pattern of refused reasonable refunds, or of complaints to Stripe, may lead to a review of your School.
7. Your Members' data
- For the data you process inside your School, such as attendance, progress you review, notes about a Member, offline payments and your own exports, you are the controller and iSpeak is your processor. iSpeak processes that data only to run the platform, on your documented instructions, with the security measures in the Privacy Policy, and deletes it when you delete the School or the account.
- You use Members' data only to run your School. You do not export it to market unrelated services, sell it, or keep it after a Member leaves beyond what the law requires.
- If you add a tracking pixel, webhook or Zapier integration to your School, you are the controller for that data flow, you make sure it is lawful, and it runs only after the Member consents to marketing cookies.
- If a Member asks you to see, correct or delete their data in your School, help them within 30 days, or send the request to support@ispeaktm.com.
8. Discovery, showcase and marketing
- Your School is listed in Discover schools when you switch on listing. You can opt out at any time. We may feature Schools and show earnings badges in the sign-up showcase only for Schools that have opted in, and only with figures you have agreed to show.
- You may use the iSpeak name and logo to say your School is on iSpeak. You may not suggest that iSpeak endorses your School, or use our brand in a misleading way.
- Demo Schools that iSpeak creates for testing are marked as such and are not run by the organisations they are modelled on.
9. Prohibited Schools and content
You may not run a School that:
- sells or promotes anything illegal where you or your Members are, including unlicensed financial products or medicines;
- is a scheme that pays Members mainly for recruiting other Members;
- contains sexually explicit material, hate, harassment or incitement to violence;
- infringes others' copyright or trademarks, including reselling courses you do not own;
- exists mainly to move payments off iSpeak after Members joined on iSpeak;
- impersonates another school, organisation or person.
10. Suspension, termination and transfer
- You can delete your School at any time from its settings after settling any negative balance. Members are told, their memberships end, and remaining content is deleted within 30 days. Any Available balance is paid out to you under section 5.
- You can transfer a School to another iSpeak user; both of you confirm the transfer in the app, and the new owner accepts these Terms.
- iSpeak may suspend or close a School that breaks these Terms, the Terms of Service or the law, receives repeated valid complaints, or creates fraud or payment risk. Where it is fair and lawful we tell you first and give you a chance to fix the problem. Earnings that are not subject to a dispute or clawback are paid out on closure.
- If iSpeak stops operating the platform, we give at least 60 days' notice, pay out balances and give you an export of your School's content and member list.
11. Liability and indemnity
- You are responsible for claims that arise from your School: its content, its teaching, its handling of Members and their data, your taxes and your compliance with local law. You will cover iSpeak's reasonable costs if a third party brings such a claim against iSpeak because of your School.
- iSpeak's liability to you is limited as set out in the Terms of Service, and in no case exceeds the platform fees and plan payments you paid to iSpeak in the twelve months before the claim.
- iSpeak does not guarantee any number of Members, any revenue or the continued availability of any third-party service we rely on.
12. Changes
We may update these Terms with at least 30 days' notice by e-mail and in the app. Continuing to run a School after that date means you accept the new Terms. If you do not, you may delete or transfer your School before the date and we pay out your balance.
13. Law, languages and contact
These Terms are governed by the laws of Turkmenistan, with the dispute procedure in the Terms of Service. They are written in English and provided in Russian and Turkmen for convenience; the English text is legally binding.
